I am Bruce Chizen, Chairman of the Board of ChargePoint Holdings, Inc., and it is my pleasure to welcome you to ChargePoint's 2026 Annual Meeting of Stockholders. We are excited to be hosting our meeting virtually, which allows us to reach a greater number of our stockholders via the web portal. We will conduct the business portion of the meeting first and answer any questions subject to the rules of conduct at the end of the meeting. It is my pleasure to preside as Chair of today's meeting and to introduce Eric Patel, who will act as Secretary of the meeting.

Before proceeding to the formal business, let me introduce our other Directors and Officers who are with us today, including Roxanne Bowman, Axel Harries, Susan Heystee, Ekta Singh-Bushell, Rick Wagoner, and our President Chief Executive Officer, Rick Wilmer, our Chief Financial Officer, Mansi Khetani. Also with us today are Patrick Young from PricewaterhouseCoopers LLP, and Kathryn Whedon, who is serving as our Inspector of Elections today. It is now 11:02 A.M. Pacific Time on July 21st, 2026. The meeting is now called to order.
I have proof by affidavit, signed by a representative of Broadridge Financial Solutions, Inc., that notice of this meeting has been duly given and that the notice of the 2026 Annual Meeting of Stockholders, proxy statement, and proxy card were mailed or made available on or about May 28th, 2026, to all stockholders of record at the close of business on May 26th, 2026. The affidavit, together with copies of the notice, proxy statement, and proxy card, and other proxy materials, will be filed with the minutes of the meeting. In addition, Kathryn Whedon has signed an oath of office in her role as the Inspector of Election. The oath of the Inspector of Election will be filed with the minutes of this meeting.
The Inspector of Election has advised me that we have present in person or by proxy a sufficient number of shares to constitute a quorum, the meeting is duly constituted and is able to transact business. We will vote by proxy ballot today. If you have already turned in a proxy by mail, telephone, or internet and do not intend to change your vote, it is not necessary that you vote. Those of you who did not turn in a proxy or wish to change your vote may do so by clicking on the voting button on the web portal and following the instructions there. Since ChargePoint was not notified by any stockholder of their intention to present any other business at this meeting, in accordance with ChargePoint's bylaws, there are only three items of formal business to be considered by the stockholders at this annual meeting. The first item of formal business is the nomination and election of 3 Class III directors to the Board of Directors, each to hold office until the 2029 Annual Meeting of Stockholders. The persons named in the proxy statement have been nominated to serve as Class III directors of ChargePoint, Inc. They are Bruce Chizen, Michael Linse, and Rick Wilmer. The second item of formal business is to ratify the appointment of PricewaterhouseCoopers LLP, as ChargePoint's independent registered public accounting firm for the fiscal year ended January 31, 2027.
The third item of formal business is the approval on an advisory basis of the compensation of our named executive officers as disclosed in our proxy statement, otherwise known as Say on Pay. These are the only items of formal business of the meeting.

We have been informed by the Inspector of Election that the preliminary vote report shows that the nominees for election to the board have been duly elected, the appointment of PricewaterhouseCoopers LLP has been duly ratified, and the Say on Pay proposal has been approved on an advisory basis.
